Cleary Gottlieb represented Goldman Sachs International as the initial purchaser in a Rule 144A/Regulation S dual tranche $1.5 billion offering by Taiwan Semiconductor Manufacturing Company Limited’s wholly-owned subsidiary, TSMC Global Ltd. of 0.950% notes due 2016 and 1.625% notes due 2018. The transaction represents TSMC’s inaugural bond offering in the international capital markets. TSMC guaranteed the notes, which are listed on the Singapore Stock Exchange. The offering priced on March 27 and closed on April 3.
