Cleary Gottlieb is representing Total S.A. in its acquisition of the Gerber baby care division from Nestle S.A. The purchase agreement was signed on October 2, and the deal is expected to close by year-end.
Total, an integrated global oil firm is the largest company in France by market capitalization. The acquired baby care business, which makes bottles, nipples, pacifiers and related products for sale in the Americas, will be integrated within Total’s chemicals subsidiary, Hutchinson S.A. With the addition of the Gerber assets, Hutchinson (which already produces baby care products under the Nuk brand) will significantly reinforce its presence in the key U.S. market.
