Southwestern Energy’s Merger With Montage Resources

Cleary Gottlieb is representing Goldman Sachs as financial advisor to Southwestern Energy Company (Southwestern Energy) in its merger with Montage Resources Corporation (Montage Resources).

Under the terms of the merger agreement, Southwestern Energy will acquire Montage Resources in an all-stock transaction with an exchange ratio based on the three-day average closing share prices of the companies as of August 11, 2020. The merger agreement was signed on August 12, 2020, and the transaction is expected to close in the fourth quarter of 2020.

Southwestern Energy is a growing independent energy company primarily engaged in natural gas and crude oil exploration, development, and production.
