OCI Sells Stake in OCI Clean Fuels to ADQ and Alpha Dhabi Holding

Cleary Gottlieb represented OCI N.V. and its subsidiary OCI Intermediate B.V. in the sale of a 15% stake in OCI’s methanol business to ADQ and Alpha Dhabi Holding for total consideration of $375 million.
OCI Clean Fuels Limited, the holding company for the methanol business, will be based in the Abu Dhabi Global Market.
OCI is a global leader in methanol with an established and globally diversified production, trading, and distribution platform, with leading positions in the United States and Europe, and a proportionate capacity of approximately 3 million metric tons. OCI’s methanol holding is a pioneer and global leader in bio-methanol, which is produced at its methanol facilities in the Netherlands and the United States. It is also one of the global leaders in low-carbon methanol and green methanol.
The transaction bolsters OCI’s positioning for future growth initiatives in the global transition to a hydrogen economy and focus on clean methanol as a fuel for the future with hydrogen as the primary feedstock. Methanol is a fundamental enabler of the hydrogen economy and is one of the most efficient fuels that will be key to decarbonizing the marine industry in particular.
ADQ is an Abu Dhabi sovereign investor. Alpha Dhabi Holding is a publicly traded company that is part of the Abu Dhabi-based International Holding Company conglomerate.
