LVMH to Become Majority Investor in Off-White

Cleary Gottlieb is representing LVMH Moët Hennessy Louis Vuitton (LVMH) on the antitrust aspects of its acquisition of a majority stake in Off-White LLC, the trademark owner of Off-White.
Following the transaction, LVMH will own a 60% interest in the luxury street fashion trademark, while Mr. Abloh will retain a 40% interest and continue as creative director of the brand, which he founded in 2013.
LVMH is the holding company of the LVMH group of companies, an international luxury group active in the manufacture and sale of luxury goods through its portfolio of 75 brands worldwide. LVMH’s main activities fall into its five core business groups: wines and spirits, fashion and leather goods, perfumes and cosmetics, watches and jewelry, and selective retailing.
Off-White, an Illinois limited liability company, is the owner of various trademarks related to products created and designed by Mr. Abloh, including the renowned street fashion brand Off-White, which is designed to empower the new generation and challenge the status quo. With a design studio based in Milan, Italy, the label harnesses the history and craftsmanship within the country, yet offering a global perspective in terms of design and trends.
