Alstom’s Acquisition of Bombardier Cleared By U.S. DOJ

Cleary Gottlieb represented Alstom S.A. (Alstom) before the Antitrust Division of the U.S. Department of Justice (U.S. DOJ) in Alstom’s acquisition of Bombardier Transportation (Bombardier), the rail transport division of Bombardier Inc.

The U.S. DOJ unconditionally cleared Alstom’s acquisition of Bombardier on October 20, 2020. The U.S. DOJ issued a second request for an in-depth review of the transaction in early July 2020, and Alstom and Bombardier certified compliance with the second request less than three and a half months later.

The transaction remains subject to further regulatory approvals in other jurisdictions and customary closing conditions. Closing of the acquisition is expected in the first quarter of 2021.
