Shuangjun Wang’s practice focuses on capital markets transactions, corporate governance, and corporate advisory work, with a focus on ESG and sustainability matters.
She has worked with both issuers and underwriters on various public and private securities offerings, including initial public offerings and pre-IPO financing arrangements. She also regularly advises corporate clients on disclosure, corporate governance, proxy matters, securities laws and stock exchange rules, Exchange Act reporting, risk management, ESG and sustainability matters, and regulatory compliance, including Section 16 compliance, beneficial ownership reporting, and corporate affiliate resales.
Shuangjun joined the firm in 2016 after working as a summer associate in both the New York and Brussels offices in 2015 and became a partner in 2025. She previously completed a client secondment at a major international financial institution (corporate governance).

Represents various underwriters as designated underwriters’ counsel for American Express in its ongoing senior and subordinated debt offerings.

Advised GlobalFoundries Inc. in connection with a $950 million secondary public offering of GlobalFoundries ordinary shares by its selling stockholder, Mubadala, including a $200 million share repurchase.

Represented Stripe in its $7 billion equity private placement, the largest ever U.S. private placement, and its related equity tender offer.

Represented Verizon in its proposed $30 billion notes offering to finance its 5G spectrum expansion.

Represented Alphabet in its inaugural $5.75 billion sustainability bonds issuance as part of $10 billion notes offering.

Represented Pinterest in its $1.6 billion SEC-registered IPO.

Represented a large hedge fund founder on governance and succession matters, as well as related transactions involving complex securities.

Represented the underwriters in a $1 billion debt offering by The Hershey Company.

Represented McCormick & Company in the financing of its $4.2 billion acquisition of the food business of British conglomerate Reckitt Benckiser Group Plc.

Represented TCW Direct Lending LLC’s BDC in connection with this proposed exchange offer/split-off to provide holders with a permanent capital/IPO vehicle.
