Patriot Coal Corporation in a Public Offering of Common Stock

Cleary Gottlieb represented the underwriters, led by Morgan Stanley and UBS Investment Bank, in a public offering by Patriot Coal Corporation of 12,000,000 shares of its common stock. The underwriters have an option to purchase up to an additional 1,800,000 shares of common stock. The transaction closed on June 22.

Patriot Coal Corporation is one of the leading producers of metallurgical and thermal coal in the eastern United States. The proceeds of the offering were partially used to repay outstanding debt of Patriot.
