Apogee Enterprises to Acquire UW Solutions

Cleary Gottlieb is representing Apogee Enterprises Inc. (Apogee) in its definitive agreement to acquire UW Interco LLC (UW Solutions), a Heartwood Partners portfolio company, for $240 million in cash.

The transaction signed on September 23, 2024, and is expected to close during Apogee’s fiscal 2025 third quarter, subject to the fulfillment of conditions precedent and the completion of customary regulatory approvals.

Apogee is a leading provider of architectural products and services for enclosing buildings, and high-performance glass and acrylic products used for preservation, energy conservation, and enhanced viewing. Headquartered in Minneapolis, MN, Apogee’s portfolio of industry-leading products and services includes high-performance architectural glass, windows, curtainwall, storefront and entrance systems, integrated project management, and installation services, as well as value-added glass and acrylic for custom picture framing and displays.

UW Solutions is a U.S.-based, vertically integrated manufacturer of high-performance coated substrates, differentiated by its proprietary formulations and coating application processes. It serves a broad range of customers in attractive end markets, including building products for distribution centers and manufacturing facilities, as well as premium products for the graphic arts market. The business has a history of innovation with a portfolio of well-known brands, including ResinDEK, ChromaLuxe, RDC Coatings, and Unisub, each known as a leader in its specified applications.

Given similar core process technologies and coating expertise, Apogee plans to integrate UW Solutions into its Large-Scale Optical segment to create a scalable growth platform in the specialty coatings and materials market.
