Getting the Deal Started: Non-disclosure Agreements in the Preliminary Phase of M&A Deals

Negotiations throughout the preliminary phase of M&A deals entail a flow of confidential information among the parties, typically regulated by specific non-disclosure agreements (or NDAs). Based on the analysis of precedents and market practice both in private and public M&A contexts, we discussed certain features of interest for practitioners and business operators and the main legal issues arising when drafting and negotiating such agreements.
