The Dodd-Frank Wall Street Reform and Consumer Protection Act, signed into law on July 21, 2010, includes various executive compensation and corporate governance provisions that are generally applicable to public companies listed in the United States. Federal regulators are in the process of proposing and adopting rules to implement these provisions. This memorandum briefly summarizes the provisions and includes a chart that describes whether and how they may be applied to foreign private issuers based on the current state of rulemaking.
