Belgium Implements the Mobility Directive

On June 6, the Belgian law transposing the EU Mobility Directive was published.

This new law introduces a number of notable changes to the rules on cross-border mergers, de-mergers and conversions involving a Belgian company. In the below Alert Memorandum, we highlight the most important novelties and practical takeaways, including the cash-out “exit” right that will in the future be available to securityholders in the context of cross-border reorganizations. The most significant new rules will enter into effect already later this week, on June 16.
