TMH Service in Acquisition OAO Zheldorremmash Shares

Cleary Gottlieb represented TMH Service, a large Russian rail stock service and repair company, in its acquisition of 75%-2 shares in OAO Zheldorremmash, a leading Russian locomotive repair company, from Russian Railways, sold by way of public auction, for approximately U.S.$250 million, its related shareholders arrangements with the sellers as well as negotiations of the 5-year services agreement between OAO Zheldorremmash and Russian Railways. The tender took place in November 2012, the transaction documents were executed and the transaction was successfully closed in December 2012.
