Ternium in $2.7 Billion Acquisition of 27.7% of Leading Brazilian Steel Producer Usiminas

Cleary Gottlieb provided antitrust advice to Ternium SA (and a sister company) in the acquisition of 27.66% of the ordinary shares of Usinas Siderúrgicas de Minas Gerais S.A. USIMINAS (“Usiminas”), for a value of approximately 5 billion reais ($2.7 billion). The deal was announced on November 27, 2011 and closed on January 16, 2012.

As a result of the transactions, Ternium will control Usiminas together with Nippon Steel Corporation.

Usiminas is the largest flat steel producer in Brazil, and the leader in the Brazilian flat steel market.
