SK hynix in $2.5 Billion Notes Offering

Cleary Gottlieb represented SK hynix Inc. (SK hynix) in its Rule 144A/Reg. S triple-tranche offering of $500 million 1% notes due 2024, $1 billion 1.5% notes due 2026, and $1 billion 2.375% notes due 2031.

The 2031 notes were issued as “green bonds” under the SK hynix Green Financing Framework.

The notes were listed on the Singapore Exchange. The offering priced on January 13, 2021, and closed on January 19, 2021. BNP Paribas, Citigroup, Crédit Agricole CIB, Credit Suisse, HSBC, J.P. Morgan, and BofA Securities were the joint bookrunners.

SK hynix is one of the world’s largest memory semiconductor companies and engages in the design, manufacture, and sale of advanced memory semiconductors. In the dynamic random access memory market, the company is ranked No. 2 globally based on revenue with a market share of 29.4% in the first nine months of 2020.
