Nyrstar’s €400 Million Notes Offering

Cleary Gottlieb represented Goldman Sachs International, Deutsche Bank, NatWest Markets, Société Générale, KBC Bank, BMO Capital Markets and Credit Suisse as initial purchasers in a €400 million senior notes offering by Nyrstar.
The senior notes priced with a coupon of 6.875 percent per annum and a 7-year tenor and will be listed on the Euro MTF Market of the Luxembourg Stock Exchange. The offering was made in in the U.S. under Rule 144A and outside the U.S. in reliance on Regulation S.
Cleary also represented Goldman Sachs International and Deutsche Bank as dealer managers in a concurrent tender offer for Nyrstar’s 4.25 percent convertible bonds issued in an original aggregate principal amount of €120 million and maturing in 2018.
Both transactions closed on March 10, 2017.
Nyrstar is a global multi-metals business, with a market-leading position in zinc and lead, and growing positions in other base and precious metals. Nyrstar has mining, smelting and other operations located in Europe, the Americas and Australia. Cleary served as underwriters’ counsel in Nyrstar’s 2007 IPO, one of the largest ever in Belgium, and in many other capital markets transactions since.
