MSCI in $595 Million Secondary Offering of Common Stock

Cleary Gottlieb represented the underwriters, led by Morgan Stanley & Co. Incorporated, in a $595 million registered secondary public offering of 27,708,653 shares of MSCI Inc.’s class A common stock. The shares were sold by Morgan Stanley and consisted all of Morgan Stanley’s remaining interest in MSCI. The deal priced on May 19 and closed on May 22.

Cleary Gottlieb previously represented the underwriters in the November 2007 initial public offering of MSCI and in 2008 in two secondary follow-on offerings.
