Mega’s $100 Million Tender Offer

Cleary Gottlieb represented Goldman Sachs & Co. LLC and HSBC (Securities) Inc., as dealer managers in a tender offer by Operadora de Servicios Mega S.A. de C.V. SOFOM E.R. (Mega) to purchase for cash up to $100 million aggregate principal amount of its outstanding 8.25% senior notes due 2025.

The offer launched on December 1, 2022, and early tenders were settled on December 16, 2022. The offer will expire on December 29, 2022.

Mega is a Mexican leasing company based in Guadalajara, Jalisco, with more than 15 years of operating experience specializing in three main business lines: leasing, lending, and auto loans. The company specializes in serving small- and medium-sized enterprises in Mexico, which are largely underserved by traditional banking institutions.
