Cleary Gottlieb is advising Keysight Technologies, Inc. in its acquisition of Anite plc. Keysight announced today a recommended cash offer by Keysight Technologies Netherlands B.V., an indirect wholly-owned subsidiary, to acquire the entire issued and to be issued ordinary share capital of Anite, a leading U.K.- based supplier of software solutions for wireless research and development. Keysight is a global leader in electronic test and measurement headquartered in Santa Rosa, California. The acquisition, valued at $606 million (£388 million), has been unanimously recommended by the board of directors of Anite. The transaction is expected to close later this year.
