Fresenius Medical Care Announces Combination of Fresenius Health Partners, Cricket Health, and InterWell Health

Cleary Gottlieb is representing Fresenius Medical Care North America in the carve-out combination of its Fresenius Health Partners business with Cricket Health and InterWell Health.

The transaction signed on March 20, 2022, and was announced on March 21, 2022. The combined company is valued at $2.4 billion and by 2025 expects to engage and manage the care of more than 270,000 Americans living with kidney disease. The transaction is all stock and expected to close in the second half of 2022.

Fresenius Medical Care North America is the U.S. subsidiary of Fresenius Medical Care AG & Co. KGaA, a German public company, which provides products and services for individuals with kidney diseases.

Fresenius Health Partners provides value based kidney care to persons with chronic kidney disease and end-stage kidney disease. Cricket Health, in addition to value based care, provides a patient engagement and data platform and is a Welsh Carson portfolio company. InterWell Health is network of over 1,600 nephrologists (and is an existing joint venture of Fresenius Medical Care).
