F2i, APG Asset Management, and Ardian to Sell 2i Rete Gas to Italgas

Cleary Gottlieb is advising F2i, APG Asset Management, and Ardian in their agreement to sell 2i Rete Gas to Italgas.

The consideration amounts to €2.06 billion, with an underlying enterprise value in excess of €5 billion.

The transaction is expected to close by the end of the first half of 2025, subject to regulatory approvals.

F2i is Italy’s leading infrastructure fund manager. Italgas is Italy’s largest gas distribution company.
