Ecology and Environment Completes Sale to WSP Global

Cleary Gottlieb represented Ecology and Environment Inc. (E&E), a U.S. company formerly listed on the NASDAQ, in its all-cash sale to WSP Global Inc. (WSP Global), a Canadian company listed on the Toronto Stock Exchange.

The transaction signed on August 28, 2019, and closed on December 31, 2019. The merger consideration consisted of $15 per share of E&E Class A and Class B common stock, together with a special dividend of $0.50 per share of E&E Class A and Class B common stock payable to holders of record as of the close of business on December 30, 2019.
