Counsel to Genesys Conferencing in connection with West Corporation's €182.9 Million Tender Offer for Genesys

Cleary Gottlieb is representing Genesys Conferencing in connection with West Corporation’s €182.9 million friendly tender offer to acquire Genesys and combine it with InterCall, Inc., a West subsidiary. The tender offer is for all Genesys shares and bond redeemable in shares (“ORAs”) and all ADSs representing ordinary shares. It is subject to the French laws and regulations. The draft Tender Offer Prospectus was filed with the AMF on February 19 and cleared by the AMF on March 18. The deal is expected to close during the second quarter.
