Cleary Gottlieb represented UBS and Morgan Stanley in the $370 million initial public offering of Banco Nossa Caixa S.A., the bank controlled by the State of São Paulo, Brazil, in October 2005. Structured as a secondary Rule 144A/Reg S offering outside of Brazil, it marked the debut of a financial institution in the Novo Mercado, the highest segment of corporate governance of the São Paulo Stock Exchange (BOVESPA).
