BNY Mellon Capital Markets’ Inaugural Tender Offer

Cleary Gottlieb represented Citigroup Global Markets Inc. and Goldman Sachs & Co. LLC, as dealer managers, in BNY Mellon Capital Markets LLC’s (BNY Mellon Capital Markets) offers to purchase for cash any and all of The Bank of New York Mellon Corporation’s outstanding 0.35% senior medium-term notes, Series J due 2023; 3.35% senior medium-term notes, Series J due 2025; and 3.43% fixed-rate/floating-rate callable senior medium-term notes, Series J due 2025.

The tender offer launched on September 5, 2023, and is expected to expire and settle on September 11, 2023, and September 14, 2023, respectively.
