Ami Holdings Sells 100% of Outstanding Membership Interests in AMI Automation to Resonac

Cleary Gottlieb represented Ami Holdings S.A. de C.V. (AMI Holdings) in the sale of 100% of its outstanding membership interests in each of AMI Automation LLC (AMI LLC), a Delaware limited liability company; AMI Automatizacion S.A.P.I. de C.V. (AGA), a Mexican corporation; and AMI International S.A.P.I. de C.V. (AGI), a Mexican corporation, to Showa Denko Carbon Mexico Holding S.A. de C.V. (SDCMH) and Resonac Graphite America Inc (RGA), both subsidiaries of Resonac Corporation.

The transaction signed on August 8, 2023, and closed on August 9, 2023.

Resonac acquired 50% ownership in the AMI subsidiaries on February 5, 2021, with an option to acquire the remaining 50% ownership within five years from that date. Accordingly, through RGA and SDCMH, Resonac has acquired the remaining 50% to complete the acquisition of 100% membership interests in the AMI subsidiaries.

AMI Holdings is a global provider of automation and control solutions, with a focus on designing, manufacturing, and implementing innovative technology solutions, for an extensive range of industries. AMI, through its Meltshop Solutions division, provides software and optimization services for electrode regulation systems and Electric Arc Furnace (EAF) operations. In North America, AMI’s electrode regulation systems are used in the production of almost 90% of EAF steel.

Resonac is the leading global provider of high-quality graphite electrodes, with the world’s largest production capacity of graphite electrode in six different manufacturing facilities located around the world. Through the acquisition of AMI Automation, Resonac will evolve its graphite business from simple provision of electrode products into provision of total solution services for EAF, making their graphite electrode production more efficient.
