Alphabet in €9 Billion Offering and Inaugural C$8.5 Billion Offering

Cleary Gottlieb is representing Alphabet Inc. (Alphabet), the parent company of Google LLC (Google) and one of the world’s most valuable public companies, in concurrent SEC-registered offerings of €9 billion aggregate principal amount of euro-denominated senior notes and an inaugural SEC-registered offering of C$8.5 billion aggregate principal amount of Canadian dollar-denominated senior notes.
The euro offering is comprised of €1.5 billion in 3.200% senior notes due 2030, €1.75 billion in 3.450% senior notes due 2032, €1.5 billion in 3.625% senior notes due 2034, €1.75 billion in 4.100% senior notes due 2039, €1.25 billion in 4.500% senior notes due 2045, and €1.25 billion in 4.800% senior notes due 2063.
Barclays Bank PLC, BNP PARIBAS, Deutsche Bank AG, London Branch, and HSBC Bank plc are acting as representatives of the underwriters for the euro offering. The offering is scheduled to close on May 11, 2026, subject to customary closing conditions.
The Canadian dollar offering is comprised of C$1.5 billion in 3.650% senior notes due 2031, C$2 billion in 4.000% senior notes due 2033, C$2.25 billion in 4.350% senior notes due 2036, and C$2.75 billion in 5.000% senior notes due 2056.
RBC Dominion Securities Inc., Scotia Capital Inc., and TD Securities Inc. are acting as the underwriters for the Canadian dollar offering. The offering is scheduled to close on May 11, 2026, subject to customary closing conditions.
The net proceeds from the offerings will be used for general corporate purposes, which may include the repayment of outstanding debt.
Alphabet is based in Mountain View, California. Cleary has represented Alphabet in numerous prior transactions, dating back to Alphabet’s reorganization in 2015 in which Cleary served as counsel, and most recently in a concurrent $20 billion USD-denominated notes offering and record inaugural £5.5 billion GBP-denominated and CHF 3.055 billion Swiss Franc-denominated notes offerings in February 2026.
