€339 Million Monetization by Air France-KLM of its Interest in Amadeus IT Holding

Cleary Gottlieb acted as counsel to Air France-KLM in connection with the Rule 144A/Reg S offering of 4,475,819 ordinary shares of Amadeus IT Holding, representing approximately 1% of the share capital of the Spanish company. The offering was managed by Société Générale, which acted as sole initial purchaser. The transaction, which launched and priced on September 9, 2014, is expected to be settled on September 15, 2014.

Simultaneously, the Air France group has settled the entire derivative transaction it entered into in 2012 with Société Générale covering 12,000,000 shares of Amadeus, and representing 2.68% of the share capital of the company. After both transactions, Air France-KLM still holds 4.4% of the voting rights in Amadeus.
