The 2024 proxy season saw a continuation of 2023 trends but in greater abundance – emboldened proponents submitted a plethora of proposals (many of which were duplicates of 2023 proposals), the SEC concurred on a higher number of no-action requests, investors continued to deem most E&S proposals to be immaterial or overreaching, while traditional governance proposals received substantial support.
